Terms of Service

These Terms of Service govern the relationship between Suaid Global LLC and its clients. Please read carefully before using our services.
1. Scope of Services
Suaid Global LLC ("Suaid Global," "we," "us," or "our") provides freight forwarding, customs brokerage, warehousing, ground transportation, cargo insurance, and supply chain advisory services ("Services") to clients ("you" or "Client") worldwide. These Terms of Service ("Terms") govern all Services provided by Suaid Global. By engaging our Services, you agree to be bound by these Terms.
2. Quotes and Rates
All quotes provided by Suaid Global are estimates based on information provided at the time of request and current market conditions. Quotes are valid for the period specified (typically 48–72 hours for spot rates). Suaid Global reserves the right to adjust rates if: (a) the actual cargo specifications differ materially from those quoted; (b) carrier rates change before booking confirmation; or (c) additional charges are imposed by carriers, ports, or government authorities. No rate is binding until confirmed in writing.
3. Booking Confirmation and Orders
A Service is considered confirmed only upon written confirmation from Suaid Global. Verbal instructions are accepted at the Client's risk. The Client is responsible for providing accurate and complete cargo information, including but not limited to: commodity description, dimensions, weight, value, country of origin, and any applicable permits, licenses, or certifications. Suaid Global shall not be liable for delays or additional costs arising from incorrect or incomplete information provided by the Client.
4. Payment Terms
Invoices are payable within the term specified on each invoice (typically Net 15 days from invoice date). Late payments are subject to a late fee of 1.5% per month (or the maximum permitted by law, whichever is less) on outstanding balances. Suaid Global reserves the right to withhold cargo documents, delay shipments, or suspend Services for accounts with outstanding balances. All fees are quoted in United States Dollars (USD) unless otherwise specified.
5. Liability Limitations
Suaid Global acts as an intermediary between the Client and carriers, terminals, customs authorities, and other third parties. Our liability as a freight forwarder is limited to the lesser of: (a) the actual loss or damage suffered by the Client; or (b) USD $50 per shipment, unless a higher declared value has been agreed in writing and appropriate insurance or carrier liability has been purchased. We strongly recommend that all clients utilize our Value Protect cargo insurance service.
Suaid Global is not liable for: acts of God, natural disasters, force majeure events, strikes, government actions, carrier failures, customs delays, or any other events beyond our reasonable control. We are not liable for consequential, indirect, or special damages, including loss of profits or business opportunities.
6. Cargo Insurance
Suaid Global does not automatically insure cargo. Unless the Client specifically requests cargo insurance through our Value Protect service, all cargo moves at the Client's risk (subject to carrier's limited statutory liability). Clients are advised to declare the full commercial value of goods and obtain appropriate all-risk coverage. Claims for loss or damage must be filed in accordance with the carrier's procedures within the timeframes specified in the applicable Bill of Lading or Air Waybill.
7. Dangerous Goods
The Client is solely responsible for ensuring that all dangerous goods (hazardous materials) are properly classified, packaged, labeled, marked, and documented in accordance with applicable regulations (IMDG Code, IATA Dangerous Goods Regulations, DOT, and local regulations). The Client must declare all dangerous goods prior to booking. Failure to declare dangerous goods may result in immediate cancellation of the shipment, confiscation, fines, and full liability for any resulting damage.
8. Customs and Regulatory Compliance
The Client is the Importer of Record (IOR) and bears full legal responsibility for compliance with all applicable import and export laws and regulations. While Suaid Global provides customs brokerage services, the Client remains responsible for: the accuracy of all declared values, classifications, and country of origin information; obtaining all required permits, licenses, and certifications; and payment of all duties, taxes, fees, and penalties imposed by customs authorities. Suaid Global shall not be liable for any customs delays, examinations, or penalties arising from Client-provided information.
9. Cancellation Policy
Cancellations must be submitted in writing. Cancellation fees apply as follows: (a) before carrier space is booked: no fee; (b) after carrier booking but before cargo pickup: USD $75–$150 administrative fee plus any carrier cancellation charges; (c) after cargo pickup or vessel/flight departure: no refund, and the Client remains liable for all carrier charges.
10. Dispute Resolution
Any dispute arising from or relating to these Terms or any Service provided by Suaid Global shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration in the State of New Jersey, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States of America, without regard to its conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts of the State of New Jersey.
12. Modifications
Suaid Global reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our Services after any modification constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
13. Entire Agreement
These Terms, together with any written quotations, booking confirmations, and service agreements, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior communications, understandings, and agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
